Dear Ms Ethics is a communication vehicle to disseminate the answers to questions about organizational ethical dilemmas that relate to the CCIC Code of Ethics and Operational Standards.

1. Limiting Terms of Service
In our organization, we have such a regular turnover of Board members that we do not think we need to limit the terms of service for our directors. With such a turn over, there is no danger of an insider group controlling the Board. Does our practice meet the spirit of the CCIC Code of Ethics and Operational Standards example of good ethical practice in S3.3 of the Guidance Document?

2. Governing Body Delegation
Operational Standard S3.4 empowers boards to delegate. While I see delegation as good management, it appears to me that our board has reached a point where it not only delegates action, but also much of what used to be in the realm of their own decision-making. Is this okay?

3. Board Member Honorarium
Some organizations provide Board members with an ‘honorarium’ every time they attend a Board meeting. The Operational Standards, however, says that members of the Board of Directors should serve without compensation as directors. Is the payment of an honorarium a contravention of the standard?

4. Family Connections
Is the reference in S3.1 of the Guidance Document to directors minimizing family connections with the Organization targeted at family run organizations? This doesn't seem to be an issue for most CCIC members, so do we need to have something in our policies?

5. Attendance at Board Meetings
Our policy states that there must be fifty percent attendance to have a quorum for our Board meetings. Is this enough for good ethical practice or should our policy be updated?

6. CEO on Governing Body
What is your advice about having the Chief Executive Officer/Executive Director sit on an organization’s Board of Directors?
